1. Acceptance of Terms

1.1 By accessing or using our Platform, you confirm that:

• You have read, understood, and agree to be bound by these Terms;
• You are at least 13 years of age (or the minimum legal age in your jurisdiction to form a binding contract with HellsAcse, if higher);
• You have the legal authority to enter into these Terms; and
• Your use of the Platform will comply with all applicable laws and regulations.

1.2 If you are accessing or using the Platform on behalf of a company, organization, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms, in which case the terms "you" or "your" shall refer to such entity.

2. Account Registration and Security

2.1 Account Creation

To access certain features of the Platform, you must register for an account. During registration, you agree to provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

2.2 Account Security

You agree to:

• Immediately notify HellsAcse of any unauthorized use of your account or any other breach of security;
• Ensure that you log out from your account at the end of each session when accessing the Platform from a shared device;
• Keep your password confidential and not share it with any third party; and
• Be solely responsible for all activities that occur under your account.

2.3 Account Restrictions

You agree that you will not:

• Create more than one account per person, unless explicitly permitted by HellsAcse;
• Create an account for someone other than yourself;
• Use a username that is offensive, vulgar, or infringes on someone else's rights;
• Sell, transfer, or allow others to access your account; or
• Use automated means to create accounts or collect information from the Platform.

2.4 Account Termination

HellsAcse reserves the right to suspend or terminate your account and refuse any and all current or future use of the Platform (or any portion thereof) at our discretion, with or without notice, if we have reason to believe that you have violated these Terms or engaged in any prohibited activities.

3. Platform Use and Restrictions

3.1 License to Use

Subject to your compliance with these Terms, HellsAcse grants you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Platform for your personal, non-commercial use or, if applicable, for your organization's internal business purposes.

3.2 Prohibited Activities

You agree not to engage in any of the following prohibited activities:

• Using the Platform for any illegal purpose or in violation of any local, state, national, or international law;
• Cheating, manipulating, or exploiting bugs in the Platform or in any tournament;
• Harassing, threatening, intimidating, or causing distress or discomfort to other users;
• Posting, uploading, or sharing content that is illegal, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, invasive of another's privacy, or otherwise objectionable;
• Impersonating any person or entity, or falsely stating or otherwise misrepresenting your affiliation with a person or entity;
• Interfering with or disrupting the Platform or servers or networks connected to the Platform;
• Attempting to gain unauthorized access to any part of the Platform, other accounts, computer systems, or networks connected to the Platform;
• Using any automated system, including "robots," "spiders," or "offline readers," to access the Platform;
• Circumventing or attempting to circumvent any security or anti-cheating measures implemented on the Platform;
• Collecting or harvesting any personally identifiable information from the Platform;
• Using the Platform to advertise or offer to sell goods or services without our prior written consent; or
• Encouraging or enabling any other individual to do any of the foregoing.

3.3 User Content

The Platform may allow you to post, upload, publish, submit, or transmit content such as profile information, chat messages, tournament entries, and other materials (collectively, "User Content"). By submitting User Content to the Platform, you grant HellsAcse a worldwide, non-exclusive, royalty-free license (with the right to sublicense) to use, copy, reproduce, process, adapt, modify, publish, transmit, display, and distribute such User Content in any and all media or distribution methods now known or later developed.

You represent and warrant that:

• You either own or have the necessary rights to the User Content you submit;
• The User Content does not infringe upon the rights of any third party, including intellectual property rights, privacy rights, or rights of publicity; and
• The User Content does not contain any material that is illegal, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable.

3.4 Monitoring and Enforcement

HellsAcse has the right, but not the obligation, to monitor all User Content and user activities on the Platform. We may, in our sole discretion, remove any User Content or suspend or terminate any user's access to the Platform for any reason, including if we determine that such User Content or user violates these Terms or may create liability for HellsAcse or other users.

4. Tournament Participation

4.1 Tournament Rules

Participation in tournaments on the Platform is subject to the specific rules of each tournament, which may vary. You agree to comply with all tournament rules as well as these Terms. In the event of any conflict between the tournament rules and these Terms, the tournament rules shall prevail with respect to that specific tournament.

4.2 Eligibility

Tournament eligibility requirements may vary and are specified in the individual tournament rules. HellsAcse reserves the right to verify your eligibility and to disqualify you if we determine that you do not meet the eligibility requirements or if you have violated any tournament rules or these Terms.

4.3 Prize Distribution

If you are eligible to receive prizes from tournaments, you agree to:

• Provide accurate information necessary for prize distribution;
• Be responsible for any taxes, fees, or other costs associated with receiving prizes;
• Accept prizes in the form and manner determined by HellsAcse or the tournament organizer; and
• Acknowledge that prizes may be subject to verification and compliance with these Terms and tournament rules.

HellsAcse reserves the right to withhold prize distribution if we have reason to believe that you have violated these Terms or tournament rules, or if there are disputes regarding tournament results.

4.4 Fair Play

You agree to participate in tournaments fairly and honestly. Cheating, exploiting bugs, collusion, intentionally disconnecting, or any other form of unfair play is strictly prohibited. HellsAcse reserves the right to investigate suspected violations and take appropriate action, which may include disqualification, forfeiture of prizes, and suspension or termination of your account.

4.5 Tournament Modifications

HellsAcse reserves the right to modify, suspend, or cancel any tournament at our discretion, with or without notice. This may include changes to tournament format, schedule, prize structure, or any other aspect of the tournament. We will make reasonable efforts to notify affected participants of significant changes.

5. Payments and Fees

5.1 Payment Terms

Certain features of the Platform, such as tournament entry fees or premium memberships, may require payment. By making a payment on the Platform, you agree to pay all fees and charges associated with your account based on our current fee schedule, payment policies, and terms, which we may change from time to time.

5.2 Payment Methods

We accept various payment methods as specified on our Platform. You represent and warrant that you are authorized to use the payment method you provide. You authorize us to charge your selected payment method for all fees and charges related to your account.

5.3 Refunds

All purchases and payments on the Platform are subject to our Refund Policy. Please review this policy before making any payments.

5.4 Taxes

You are responsible for all taxes applicable to your transactions on the Platform. If HellsAcse is required to collect any taxes, such taxes will be charged to you at the time of purchase.

6. Intellectual Property Rights

6.1 HellsAcse Intellectual Property

The Platform and its original content, features, and functionality are owned by HellsAcse and are protected by international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws. You agree not to copy, modify, create derivative works from, distribute, publicly display, publicly perform, or otherwise use our intellectual property without our express written consent.

6.2 Trademarks

The HellsAcse name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of HellsAcse or its affiliates or licensors. You may not use such marks without our prior written permission.

6.3 Third-Party Intellectual Property

The Platform may display content from third parties, including game publishers, tournament organizers, sponsors, and other users. All such content is the responsibility of the party that created it. HellsAcse may, but is not obligated to, review such content and may remove or modify it at our sole discretion.

6.4 Copyright Infringement

If you believe that any content on the Platform infringes your copyright, please notify us in accordance with our Copyright Policy by sending a notice to legal@hellsacse.com. Your notice must include:

• A physical or electronic signature of the copyright owner or a person authorized to act on their behalf;
• Identification of the copyrighted work claimed to have been infringed;
• Identification of the material that is claimed to be infringing and where it is located on the Platform;
• Your contact information, including your address, telephone number, and email address;
• A statement by you that you have a good faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or law; and
• A statement that the information in the notification is accurate, and, under penalty of perjury, that you are authorized to act on behalf of the copyright owner.

7. Disclaimer of Warranties

7.1 Platform Provided "As Is"

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. HELLSACSE EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

7.2 No Guarantee of Availability or Performance

HELLSACSE DOES NOT GUARANTEE THAT THE PLATFORM WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED. HELLSACSE DOES NOT WARRANT THAT THE RESULTS OBTAINED FROM THE USE OF THE PLATFORM WILL BE ACCURATE OR RELIABLE.

7.3 User Content and Interactions

HELLSACSE IS NOT RESPONSIBLE FOR THE CONDUCT OF ANY USER, BOTH ONLINE AND OFFLINE. HELLSACSE IS NOT RESPONSIBLE FOR ANY USER CONTENT POSTED ON THE PLATFORM AND DOES NOT ENDORSE ANY OPINIONS EXPRESSED BY USERS ON THE PLATFORM.

7.4 Third-Party Services

THE PLATFORM MAY INTEGRATE WITH OR PROVIDE LINKS TO THIRD-PARTY SERVICES, WEBSITES, OR RESOURCES. HELLSACSE IS NOT RESPONSIBLE FOR THE AVAILABILITY, ACCURACY, OR CONTENT OF THOSE THIRD-PARTY SERVICES. YOUR USE OF THIRD-PARTY SERVICES IS AT YOUR OWN RISK AND SUBJECT TO THEIR RESPECTIVE TERMS AND POLICIES.

8. Limitation of Liability

8.1 Limitation of Damages

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL HELLSACSE, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE PLATFORM;
• ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE PLATFORM;
• ANY CONTENT OBTAINED FROM THE PLATFORM; OR
• UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT;

WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE.

8.2 Cap on Liability

IN NO EVENT WILL HELLSACSE'S TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, OR CAUSES OF ACTION EXCEED THE AMOUNT YOU HAVE PAID HELLSACSE IN THE LAST SIX (6) MONTHS, OR, IF GREATER, ONE HUNDRED DOLLARS ($100).

8.3 Exclusions

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR THE LIMITATION OR EXCLUSION OF LIABILITY FOR CERTAIN TYPES OF DAMAGES. THEREFORE, SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU. IN SUCH JURISDICTIONS, HELLSACSE'S LIABILITY IS LIMITED TO THE GREATEST EXTENT PERMITTED BY LAW.

9. Indemnification

You agree to defend, indemnify, and hold harmless HellsAcse, its parent company, subsidiaries, affiliates, and their respective directors, officers, employees, agents, service providers, contractors, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

• Your violation of these Terms;
• Your User Content;
• Your use of the Platform; or
• Your violation of any third party's rights, including without limitation intellectual property rights, privacy rights, or publicity rights.

10. Dispute Resolution

10.1 Governing Law

These Terms and your use of the Platform shall be governed by and construed in accordance with the laws of the United Kingdom, without regard to its conflict of law provisions.

10.2 Informal Dispute Resolution

Before filing a claim against HellsAcse, you agree to attempt to resolve the dispute informally by contacting us at legal@hellsacse.com. We'll try to resolve the dispute informally by contacting you via email. If a dispute is not resolved within 30 days of submission, you or HellsAcse may bring a formal proceeding.

10.3 Arbitration

Any dispute, controversy, or claim arising out of or relating to these Terms, including the validity, invalidity, breach, or termination thereof, shall be settled by arbitration in accordance with the Rules of Arbitration of the International Chamber of Commerce in force on the date when the Notice of Arbitration is submitted. The number of arbitrators shall be one. The seat of the arbitration shall be London, United Kingdom. The arbitral proceedings shall be conducted in English.

10.4 Exceptions

Notwithstanding the foregoing, HellsAcse may seek injunctive or other equitable relief to protect its intellectual property rights or to prevent irreparable harm in any court of competent jurisdiction.

10.5 Waiver of Class Actions

YOU AND HELLSACSE AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE ACTION.

11. Modifications to the Platform and Terms

11.1 Platform Modifications

HellsAcse reserves the right to modify, suspend, or discontinue, temporarily or permanently, the Platform or any service, feature, or content provided through the Platform, with or without notice, at any time. You agree that HellsAcse shall not be liable to you or to any third party for any modification, suspension, or discontinuance of the Platform or any part thereof.

11.2 Terms Modifications

HellsAcse reserves the right to modify these Terms at any time. We will provide notice of significant changes by posting the updated Terms on the Platform and updating the "Last Updated" date. Your continued use of the Platform after any such changes constitutes your acceptance of the new Terms. If you do not agree to the revised Terms, you must stop using the Platform.

12. General Provisions

12.1 Entire Agreement

These Terms, together with any other legal notices and agreements published by HellsAcse on the Platform, constitute the entire agreement between you and HellsAcse concerning your use of the Platform.

12.2 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that the Terms will otherwise remain in full force and effect and enforceable.

12.3 No Waiver

HellsAcse's failure to enforce any right or provision of these Terms will not be considered a waiver of such right or provision. The waiver of any such right or provision will be effective only if in writing and signed by a duly authorized representative of HellsAcse.

12.4 Assignment

You may not assign or transfer these Terms, by operation of law or otherwise, without HellsAcse's prior written consent. Any attempt by you to assign or transfer these Terms without such consent will be null and void. HellsAcse may freely assign or transfer these Terms without restriction.

12.5 Notices

Any notices or other communications provided by HellsAcse under these Terms, including those regarding modifications to these Terms, will be given by posting to the Platform or by email to the address associated with your account. For notices made by e-mail, the date of receipt will be deemed the date on which such notice is transmitted.

12.6 Force Majeure

HellsAcse shall not be liable for any delay or failure to perform resulting from causes outside its reasonable control, including, but not limited to, acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes or shortages of transportation facilities, fuel, energy, labor or materials.
